Constitution and Rules

Name
The name of the association shall be called the “Wadhurst and District Business Association.” (“the Association”)
Objects
The Objects of the Association are-
To promote and represent the interests of the businesses, trades and shops within or affecting the parish of Wadhurst, East Sussex.
To provide services for the benefit and advancement of the members.
Membership
The proprietor, director, manager or partner of each business, trade or shop establishment within the Parish of Wadhurst shall be eligible to become a member of the Association, but each such establishment shall be represented by one Member only.
Committee
A committee consisting of a Chairman, Honorary Treasurer and Honorary Secretary shall manage the Association. All such members of the Committee shall be elected at the Annual General Meeting. Subject to termination of the office by resignation or otherwise, the committee and officers shall remain in office until their successors are elected at the AGM next following their election. The committee shall have full power to co-opt a Member to fill any vacancy that may occur. The retiring members shall be eligible for re-election.
AGM
1. The AGM shall take place once every year or at such other date as shall be fixed by the committee and shall be held for the following purpose:-
1.1 To receive from the committee a report by the Treasurer comprising the presentation of accounts for the previous year.
1.2 To appoint the Chairman and elect officers of the committee.
1.3 To determine the annual subscriptions and to deal with any other business notified.
2. Fourteen days notice of the AGM shall be given by the Secretary to each Member
3. Nominations for Chairman, Treasurer, Secretary and members of the committee properly seconded may be given to the Secretary not less than three days before the AGM or nominated and properly seconded at the AGM.
Voting
Unless otherwise stated, all decisions of the Association, the Committee and the Association shall be by simple majority vote of those in attendance.
Committee
The committee shall meet on at least four occasions in each year, the first to be within six weeks of the AGM.
Subscription
The annual subscription for each Member shall be payable in January of each year.
Election and expulsion
Each candidate for election as a Member of the Association shall be proposed and seconded by existing members. The notice of nomination may be given at any Committee or General Meeting and the same shall be placed on the agenda of that meeting if approved by the Committee. Election shall be by a majority on a show of hands by Committee Members present. A Member must give written notice to the Secretary of the Association by November in any year of his wish to resign or he will be liable for the subscription for the ensuing year. A Member who fails to pay his subscription by the 31st day of March in any year or when requested by the Treasurer shall, subject to the direction of the Committee, cease to be a Member.
